Parties to the Agreement
These partner terms and conditions govern the collaboration between:

and the partner whose information is provided on the registration form.
The goal is a partnership based on equality for the mutual benefit of both parties: The partner is free to decide whether and to what extent to recommend SmartLandlord. SmartLandlord rewards successful referrals with commissions and provides the partner with tools and marketing materials; starting at the Bronze level, SmartLandlord may also assign pre-qualified inquiries (warm leads) to the partner in accordance with §3.5.
§1 Subject Matter of the Contract
The partner can recommend SmartLandlord services and will receive a personalized coupon code in return. The partner acts as an independent business operator or entrepreneur on behalf of SmartLandlord within the framework of a referral or affiliate relationship as a broker for proof of transaction pursuant to Art. 412(1) of the Swiss Code of Obligations (OR). The Partner is neither an agent within the meaning of Art. 418a et seq. of the Swiss Code of Obligations (OR) nor an employee, authorized dealer, or franchisee of SmartLandlord. There is no obligation to actively engage in referral or brokerage activities. The Partner has no authority to conclude contracts, act as a representative, or conduct negotiations, and is not authorized to conclude contracts, conduct contract negotiations, or make binding statements on behalf of or for the account of SmartLandlord.
Assignment of Referrals: A referred customer will be assigned to the partner only if the customer enters the partner’s personalized promo code during registration or when purchasing a paid subscription for the first time. Registrations without a coupon code cannot be technically attributed and do not trigger a commission claim. Retrospective attribution is not possible.
The partner receives:
- Free access to the Enterprise package—for all partners, permanently and regardless of the number of referred customers
- Access to a partner dashboard for tracking customers and commissions
- Marketing materials (e.g., flyers, presentations, social media templates)
- Valuable backlinks from our website (all partners) and exclusive blog posts (Gold Partners)
- Discount Coupons for Referred Customers
- Possible assignment of warm leads pursuant to Section 3.5
- Additionally, for Gold Partners: an exclusive blog post and a spot on the main landing page
§2 Partner's Obligations
2.1 Voluntary Nature of the Recommendation
The partner is free to decide whether, when, and to what extent to recommend SmartLandlord. There is no obligation to promote the service or to achieve a specific number of referrals. The scope and benefits of the partnership are determined exclusively by the partner level specified in §4. Inactivity does not result in termination of the contract or loss of access to the Enterprise package.
If the partner recommends SmartLandlord, they must use only factually accurate information regarding the scope of services, prices, and results, as well as their personalized coupon code.
2.2 Information Provided by the Partner
Upon registration, the partner provides the following information and keeps it up to date:

No additional documentation is required to register for or use the Partner Dashboard, the coupon code, or the Enterprise Package.
When a commission entitlement arises for the first time, SmartLandlord requests the information required for payment and tax processing (billing address, tax or VAT identification number, bank account information). Until this information is provided, the commission balance remains in the partner’s account; it does not expire.
2.3 Terms of Use
Compliance with the usage guidelines for partner badges and marketing materials. Partner badges may only be used at the level to which the partner is currently assigned.
§3 Obligations of SmartLandlord
3.1 Technical Implementation
Partner Dashboard: Personalized dashboard with real-time tracking—for all partners Enterprise Package: Free access for all partners, permanently and regardless of activity (§5) Marketing Materials: Access to professional promotional materials—for all partners Partner Seal: Available in the Partner Dashboard starting at the Bronze level Warm Leads: Assignment of pre-qualified landlord inquiries starting at the Bronze level in accordance with §3.5
3.2 Financial Settlement
Commissions are paid out monthly via bank transfer once the balance reaches a minimum of 250 €. If the balance does not reach the minimum threshold in a given month, it is carried over to the following month and does not expire. Upon termination of the contract, any remaining balance will be paid out regardless of the minimum threshold.

3.4 Activation and Backlinks
Activation of the partner account following verification of registration information; provision of a dofollow backlink and listing in the partner directory starting at the Bronze level; exclusive blog articles for Gold partners
3.5 Warm Leads and Lead Assignment
Starting at the Bronze level, SmartLandlord can assign pre-qualified inquiries from landlords (warm leads) to the partner based on AI recommendations. Assignments are based on the service area specified by the partner, their service category, and their partner level. As the partner level increases, so does the priority for assignments.
Whether and how many inquiries are assigned depends solely on whether users of the platform within the partner’s service area express a need for such services and consent to the sharing of their data. SmartLandlord has no influence over the number, quality, or timing of these inquiries.
§4 Commissions and Partner Levels
Commissions and other benefits are tiered based on the number of customers with active, paid subscriptions referred by the partner. The commission is paid upon these customers' first subscription payment.
The basis for calculating the commission due to the partner is exclusively the net amount actually paid to SmartLandlord by the referred customer for the respective subscription, after deductions for discounts, rebates, chargebacks, and applicable taxes.
Payments made by the customer that are refunded due to a chargeback, cancellation, revocation, contestation, or other reversal are not included in the calculation basis. In the event of a subsequent reversal of the transaction or non-payment by the customer, the commission claim expires retroactively; commissions already paid out will be offset against existing commission credits or must be repaid.
The right to commission arises only upon full and final payment of the net invoice amount by the customer.
Applicable Terms: The currently valid commission rates and the number of customers for each partner tier are published in the commission overview at https://www.smartlandlord.ch/partners/ and in the Partner Dashboard, and form an integral part of these Terms. SmartLandlord may adjust these terms in accordance with Section 13.
Effective Date: The terms and conditions published at the time of the referral apply to each referral. SmartLandlord archives all published versions of the commission schedule, including their effective dates, and makes them available to the partner upon request.
There is no minimum number of recommendations required.
First Commission Tier: Bronze Seal, dofollow backlink, listing in the partner directory, allocation of warm leads per Section 3.5, basic marketing materials. The Enterprise Package and Partner Dashboard are included, as in all tiers.
Higher commission, prioritized support, Silver Seal, expanded marketing materials, higher priority in lead assignment (§3.5), dofollow backlink.
Highest commission, premium support with a dedicated hotline, Gold Seal, exclusive marketing materials, highest priority in lead allocation (§3.5), invitations to partner events, an exclusive blog article with contextual backlinks, and visibility on the main landing page.
4.1 Withdrawal Requirements
Payments are made monthly via bank transfer once the balance reaches €250. The commission is earned upon receipt of the first subscription payment from a customer assigned to the partner.
4.2 Classification, Promotion, and Demotion
Partner tier status is reviewed monthly based on the number of active referred customers and the published tier thresholds. A promotion to a higher tier takes effect immediately.
A downgrade will only occur if the threshold is not met for three consecutive months, and the partner will be notified 30 days in advance via email.
Access to the Enterprise package remains unaffected by any downgrade.
The commission is paid as a one-time payment and is calculated based on the first payment made by the referred customer. No further commission is payable for subsequent, recurring payments from the same customer. Renewal, change, or extension of an existing subscription also does not trigger a new commission. The commission rate is based on the partner level at the time of the respective customer’s first payment.
§5 Free Access to the Enterprise Package
All partners receive free access to the Enterprise package—regardless of their partner level and regardless of whether or how many customers they refer. Access remains valid even during extended periods of inactivity and ends only upon termination of the partner agreement.
Scope of Services. The scope of services for the Enterprise package, as published on the SmartLandlord website, applies, including the quotas specified there (such as the number of managed properties, AI analyses, AI tokens, and PDF reports). Free access includes these quotas; any usage exceeding these quotas, as well as paid add-on options, must be paid for separately by the Partner.
If SmartLandlord changes the scope of services included in the Enterprise package, §13 shall apply accordingly.
If the contract ends, access will be terminated with 30 days' notice. During this period, the partner may export their data and any analyses they have created.

§6 Use of Partner Seals and Marketing Materials
6.1 Partner Seal
Partner badges (Bronze, Silver, Gold) are available in the Partner Dashboard starting at the respective level and may be used on websites, flyers, email signatures, or social media throughout the partnership.
6.2 Marketing Materials
Marketing materials are available in the Partner Dashboard. Special marketing materials must be requested via email.
6.3 Termination of Use
Upon termination of the contract, the right to use the partner seal expires. If the partner is downgraded, the seal for the previous level may continue to be used for 30 days to allow for updates to the website and printed materials. Some marketing materials may still be used upon request.
§7 Backlinks and SEO Benefits
7.1 Standard Backlinks
Partners at the Bronze level or higher receive a dofollow backlink from our partner site that includes their company name and website link.
7.2 Premium Backlinks for Gold Partners
Exclusive blog post about the partner's company with multiple contextual backlinks; visibility on the main landing page; increased search engine visibility; direct traffic to the partner's website
7.3 Backlink Profile
The backlink will remain in place for the duration of the partnership.
If an account is suspended due to abuse under Section 9, the backlink may be removed immediately.
§8 Registration Process
The registration process consists of four simple steps:
- Registration: Sign up at /signup with email confirmation (double opt-in)
- Partner Registration: Acceptance of the Digital Partner Agreement
- Review: SmartLandlord reviews the documents and terms, followed by activation
- Customer Acquisition: Using personalized coupon codes for customer discounts, integrating SmartLandlord reports, tracking commissions in the partner dashboard
§9 Protection Against Abuse
9.1 Prohibited Practices and Procedures
SmartLandlord analyzes the use of the affiliate program to detect and prevent abuse.
Manipulation of coupon codes; misleading customer acquisition; targeted referral of customers who are clearly not interested in long-term use; unauthorized use of seals or materials
If any of these practices are suspected, SmartLandlord will notify the partner and give them 14 days to respond. If the violation is confirmed, any commission claims arising from the affected transactions will be forfeited; commissions already paid may be reclaimed. In the event of serious or repeated violations, SmartLandlord may suspend the partner and terminate the contract without notice. Commission entitlements from transactions that have not been disputed remain valid in all cases.
9.2 Notable Patterns of Termination
SmartLandlord analyzes the cancellation rates of acquired customers. If any unusual patterns are detected, SmartLandlord reserves the right to take the following measures:

Legal action, if intentional misuse is proven
An above-average termination rate alone does not constitute grounds for an allegation of abuse.
§10 Term and Termination
10.1 Effective Date and Term of the Contract
The contract begins upon acceptance and is valid for an indefinite period. There is no minimum term or minimum activity requirement. SmartLandlord will not terminate the contract due to the partner's inactivity.
10.2 Termination by Either Party
Either party may terminate the agreement in writing with 30 days' notice.
10.3 Termination by SmartLandlord for Good Cause
In the event of serious violations under §9, SmartLandlord may terminate the contract without notice or suspend the partner’s account, following a prior hearing in accordance with §9.1. In cases of imminent danger, access may be temporarily suspended; the hearing will be held without delay.
10.4 Consequences of Termination
Commission claims that have already accrued but have not yet been paid out remain valid and will be paid out in accordance with Section 3.2, regardless of the minimum payout threshold. Access to the Enterprise package ends 30 days after the termination takes effect; data and analytics may be exported during this period. The rights to use partner badges will expire.
§11 Liability
11.1 Liability
SmartLandlord bears unlimited liability in cases of willful misconduct and gross negligence, as well as in cases of injury to life, body, or health. In cases of simple negligence, SmartLandlord is liable only for breaches of material contractual obligations and only to the extent of foreseeable damages typical for this type of contract. Essential contractual obligations are those whose fulfillment is essential for the proper performance of the contract and on whose fulfillment the partner may reasonably rely. Otherwise, liability is excluded.
11.2 Indemnification
The Partner is responsible for the lawful use of the materials and shall indemnify SmartLandlord against any claims by third parties to the extent that such claims are based on a culpable breach of duty by the Partner. SmartLandlord shall promptly notify the Partner of any claims asserted and give the Partner the opportunity to defend against them.
§12 Data Protection
12.1 GDPR Compliance
Both parties agree to comply with the GDPR.
12.2 Data Processing by the Partner
The partner may process personal data only in connection with customer referrals and in accordance with legal requirements.
12.3 Assignment of Roles
When forwarding pre-qualified inquiries (warm leads) to the partner, both parties act as independent data controllers within the meaning of the GDPR. The transfer takes place exclusively on the basis of the consent of the affected user. The partner processes the transferred data under its own responsibility and exclusively for the purpose of establishing contact and preparing a quote.
In the rare event that the partner acts on behalf of SmartLandlord in accordance with SmartLandlord’s instructions, SmartLandlord will, upon request, provide a data processing agreement in accordance with Article 28 of the GDPR.
§13 Amendments to the Terms
SmartLandlord may amend the agreement in writing with 30 days' notice. The partner may terminate the agreement within this period if he or she does not agree with the changes.

Partners will be notified of any changes via email.
Changes that are disadvantageous to the partner will be announced 30 days before they take effect. The partner may terminate the contract within this period. A change is considered disadvantageous if it involves any reduction in a commission rate, any increase in a tier threshold, or any change that does not exclusively benefit the partner.
Changes that benefit only the partner—in particular, an increase in a commission rate or a reduction in a tier threshold—take effect immediately.
§14 Final Provisions
14.1 Governing Law and Jurisdiction
German law applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The exclusive venue for disputes with merchants is Tallinn, Estonia; SmartLandlord is also entitled to sue the partner in the partner’s general place of jurisdiction. Before taking legal action, both parties shall seek an out-of-court settlement.
14.2 Severability Clause
Any invalid provisions shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by the applicable statutory provision.
